Three formation tiers (F1/F2/F3), two buy-sell tiers (B2/B3), three standalone documents (S1/S2/S3), and a recurring compliance package (R1). California state filing fees ($90 baseline) quoted separately, every time.

F1 from $995 · F2 from $1,995 · F3 from $3,495 · plus state fees ($90)

Three formation tiers

F1 — Single-Member LLC Formation, $995. Solo California business owner. Articles of Organization, initial Statement of Information, EIN, single-member operating agreement, 30-minute attorney consultation, post-formation summary memo. Direct-checkout eligible.

F2 — Multi-Member LLC Formation, $1,995. Two or more California members. Custom multi-member operating agreement, 60-minute consultation including founder-alignment review, Cal RPC 1.7 conflict screening, one round of revisions. Discovery-call gated.

F3 — Premium Multi-Member Foundation, $3,495. F2 plus Standard Buy-Sell Agreement (Five Ds) with custom valuation methodology, IP assignment agreement, one initial contract template (CSA, NDA, or ICA), 30-day post-formation Q&A window. Bundle savings of ~$2,500 versus buying F2 + B2 + S3 separately.

Two buy-sell tiers

B2 — Standard Buy-Sell Agreement, $2,495. The Business Prenup. Custom buy-sell covering death, disability, divorce, departure, and deadlock. Tailored valuation methodology, right-of-first-refusal, deadlock resolution, spousal consent. Review of existing operating agreement (issue spotting only).

B3 — Governance Restatement, $4,495. B2 plus full operating-agreement restatement integrating buy-sell provisions. Tax-aware structuring of buyout mechanics in coordination with the client's CPA. Insurance funding coordination. Two rounds of revisions.

Three standalone documents

S1 — Standalone Operating Agreement, $1,495. California-specific operating agreement drafted from scratch. Existing LLC with no operating agreement, or replacing a template-service version. 30-minute consultation, one round of revisions.

S2 — Operating Agreement Review, $495. 60-minute review of an existing operating agreement, written memo identifying issues, recommendation memo. Direct-checkout eligible. Often the right starting point for existing LLC owners who aren't sure whether their OA needs work.

S3 — Single Custom Contract, $1,495. One California-specific custom contract — Client Service Agreement, NDA, or Independent Contractor Agreement. Same drafting standard as the operating agreements; different document type.

Recurring compliance

R1 — Annual Compliance Package, $395/year. Reminder + filing assistance for the biennial Statement of Information, annual member-meeting minute resolution, BOI reporting compliance check (Corporate Transparency Act), FTB compliance reminder. One short portal-based question per year on routine compliance. Excludes drafting, tax advice, disputes, employment matters, anything requiring more than 30 minutes of attorney time per year.

California state filing fees (pass-through)

Quoted separately every time, on every page that mentions price (Cal RPC 7.1). Never bundled, never marked up, never hidden.

$70. Articles of Organization (LLC-1) at formation.

$20. Initial Statement of Information (LLC-12) within 90 days of formation.

$20. Biennial Statement of Information thereafter.

$800. California FTB franchise tax — annually, regardless of revenue. Paid directly to the Franchise Tax Board, not to the firm. Some narrow first-year exemptions exist that we'll walk through on the discovery call.

$350 / $750. Optional expedited filing — 24-hour or same-day. State pass-through plus a small admin fee.

How payment works

F1 and S2 are below the Cal RPC 1.15(b) threshold ($1,000 advance fee) and bill at engagement. F2, F3, B2, B3, S1, and S3 are above the threshold — fees are deposited in our IOLTA trust account at engagement and transferred to the operating account as work is completed, with the engagement letter spelling out the milestones. If the engagement ends before the full fee is earned, the unearned balance is refunded.

We don't offer payment plans or financing. Pass-through state fees are billed at cost when incurred.
